Kiro End User License Agreement
Kiro Software's Privacy Policy stipulates how we collect and use your personal information, and how we protect it. By using our software, you agree that Kiro Software has the right to collect and use your personal information in accordance with the Privacy Policy, and you also agree to be bound by Kiro Software's Privacy Policy.
Please read this Agreement carefully before downloading and installing the software. Special attention should be paid to clauses 2, 3, 5, 14, 15, 16, and 18 of this Agreement. If you have any questions about this Agreement, you can contact Kiro Software. Any act of installing or using our software shall be deemed as your agreement to this Agreement.
1. Licensed Software and Account Registration
Licensed Software includes all content provided by the licensor in documents, disks, CDs, DVDs, or other media, written materials or documents related to the licensed software, upgrades, modified versions, updates, additions, and copies (if any) of the licensed software. The licensed software may include desktop, mobile, web, and other versions.
2. Grant of License
Upon your payment of the required purchase price for the licensed software to Kiro Software, and subject to the terms and conditions of this Agreement, Kiro Software hereby grants you a limited, revocable, personal, non-exclusive, and non-transferable right. Unless you have purchased a commercial licensed version of the software from Kiro Software, you may only use the software for personal non-commercial purposes. Sharing the software with others, or allowing others to view the content of this software, constitutes an infringement of this license. You may not make this software available to others online, nor may you provide the software to multiple users in any way, unless you have purchased at least one multi-user license from Kiro Software in advance.
If you purchase a multi-user license, you must use it in accordance with the number of users allowed by the license you purchased, meaning the number of computers and other devices you are authorized to install it on should not exceed the number of users allowed by the license you purchased. It should be noted that not all licensed software has a commercial version. For licensed software without a commercial version or without explicit provisions allowing commercial use, it shall not be used for commercial purposes.
When using the software, you should strictly follow the scope of authorization and usage restrictions for each type of license displayed on the Kiro Software official website's software purchase page. Any act beyond the scope of the license shall be deemed a violation of this Agreement and may lead to legal liability.
3. Usage Restrictions
You shall not, on your own behalf or permit others to, perform the following acts:
1) Modify, distribute, or create derivative works based on this software, or sublicense, lend, rent, or otherwise provide the software to others for use;
2) Perform reverse engineering, decompile, decode, decrypt, disassemble, or extract source code from this software in any other way;
3) Use this software in any aerospace, ship, nuclear facility, life support equipment, communication system, or any other application where a software error could easily cause personal injury, death, or any environmental damage;
4) Remove or modify Kiro Software's or other third parties' copyright or trademark identifiers contained in the software;
5) Use this software in any unlawful manner or in any manner not expressly authorized by this Agreement;
6) Use any intellectual property materials or resources (e.g., music, pictures, videos, special effects) not provided by this software within this software, unless you have obtained legal authorization from the rights holder;
7) Install the licensed software on other devices after it has already been installed on one device;
8) Use the licensed software in a manner exceeding the scope of authorization or violating the usage restrictions published by the licensor on its website and products;
9) Use the licensed software for any illegal purpose or any purpose not authorized by the licensor.
4. Installation
You may only install and log in to this software on the number of computers or other devices allowed by Kiro Software, and you must be the primary user of the device. All costs incurred during the software installation process shall be borne by you.
5. Software Improvement Program
Kiro Software is committed to protecting your privacy information. Kiro Software collects user software usage information anonymously, which helps us continuously optimize and improve the software. In order to provide and enhance software features and provide a good user experience, we automatically collect, save, process, and use Kiro Software's operation and usage information. Anonymous information will also be used for data analysis of software usage. The data we collect will not be disclosed, shared, sold, traded, or rented to any third party for marketing purposes.
6. Activation
This software contains technical designs to prevent unauthorized or illegal use. The software may contain technologies that limit users from installing or uninstalling the software multiple times on one machine, installing the software on multiple devices, or installing the software beyond the license period.
Software installation may require activation. If any required activation procedure is not performed, the software may only operate for a limited period. If activation is required but the user does not complete the installation within the specified time, the software will stop working until the installation is complete.
7. Software Trial
We may provide trial versions of the software to some users. Trial versions can only be used for a certain period and have certain functional limitations. If you want to use all the features of the software, you must purchase the full version of the software.
8. Term
You can choose to purchase multiple types of licenses. If you purchase a perpetual license, you can use this software until the agreement is terminated. If you purchase software with a specified validity period, you can only use this software within the specified validity period. This Agreement remains valid until terminated. You can terminate this Agreement by canceling your account and ceasing to use this product (service). Kiro Software has the right to terminate this Agreement if you fail to comply with any term in this Agreement. Upon the aforementioned termination, you must agree to destroy this software and all copies of this software.
9. License Transfer
You may not distribute, lease, rent, or issue this software to any third party without the written consent of Kiro Software.
10. Software Updates
During the term of this Agreement, the Licensor may provide software updates and/or content updates to the Licensee from time to time. The Licensor may, at its sole discretion, decide whether software updates and/or content updates are available for free, or whether the Licensee must pay for the updates. For the purposes of the foregoing, "update" means a new version of the licensed software containing technical modifications, updated information, changed functions, or any other changes that the Licensor intends to improve or add, delete, or otherwise modify any aspect of the license. If the licensed software is an update to a previous version, the Licensee must have a valid license for the previous version. Any updates provided by the Licensor to the Licensee are on a license exchange basis, so that the Licensee agrees, as a prerequisite for receiving updates, that the Licensee will terminate all rights of the Licensee to use any previous version of the licensed software. Once an updated version is released, the Licensor may cease service or support for previous versions without giving any notice to the Licensee. Software updates may be available through the licensed software or the Licensor's website. The Licensor may add new features, music tracks, elements, pictures, videos, or delete original features, music tracks, elements, pictures, and videos in updated or upgraded software, and the Licensee has no objection to this.
11. Intellectual Property
The licensed software is the intellectual property of the Licensor or other third parties who have granted a license to the Licensor. The structure, organization, and code of the licensed software are valuable trade secrets and confidential information of the Licensor and such third parties. The licensed software is protected by law, including but not limited to copyright laws of the People's Republic of China, the United States, and other countries, as well as international treaty provisions. Unless expressly provided in this Agreement, the Licensee will not be granted any intellectual property rights to the licensed software. The Licensee shall not make or publish any public statements about the licensed software or the Licensor without the prior express written consent of the Licensor.
The Licensee may develop plug-ins in a lawful manner based on the open interface protocol of the licensed software, and use them in the licensed software according to the Licensee's personal legitimate needs, but the Licensee must obtain the explicit and prior written authorization of the Licensor. If the Licensee does not obtain the aforementioned authorization, all legal liabilities, including but not limited to any losses or damages caused to third parties, shall be borne solely by the Licensee.
12. Support
The Licensor is not obligated to provide any technical support services related to the software to the Licensee. However, during the term of the agreement, the Licensor may provide additional paid services or free email services to the Licensee.
13. Termination by Kiro Software
Subject to the terms and conditions set forth in Clause 8, Kiro Software shall have the right to terminate this Agreement immediately upon written notice to the Licensee in the following circumstances: if the Licensee materially breaches any irremediable obligation stipulated in this Agreement, or if the Licensee materially breaches any obligation stipulated in this Agreement and fails to rectify it within fifteen (15) calendar days after receiving notice from Kiro Software. The termination of this Agreement shall not affect any rights, obligations, or liabilities that have accrued to either party prior to the termination of the Agreement, or any rights, obligations, or liabilities that continue to be effective after the termination of the Agreement.
14. No Other Warranties
The licensed software is provided to the Licensee "as is." The Licensor and the Licensor's suppliers, affiliates, agents, and employees make no warranties regarding its use or performance. The Licensor and the Licensor's affiliates make no warranties, representations, or promises regarding the software's non-infringement of third-party rights, merchantability, quality, or fitness for a particular purpose, except as otherwise mandatorily provided by law.
You expressly acknowledge and agree that, to the extent permitted by applicable law, the use of Kiro Software is at your sole risk, and the entire risk as to the quality, performance, and accuracy of the software is with you. No oral or written information or advice given by Kiro Software or an authorized representative shall create a warranty.
Some functions of the licensed software (hereinafter referred to as "restricted functions") may rely on third-party plug-ins in your local device to be realized. You agree that the subject using the third-party plug-ins is you, not Kiro Software, and you should not use the restricted functions of the licensed software unless you have obtained legitimate authorization to use the third-party plug-ins.
The software may contain "open source" code (e.g., any open source software, COPYLEFT, GNU General Public License, Library General Public License, LESSER General Public License, MOZILLA License, BERKELEY Software Distribution License, Open Source License, MIT, APACHE or Public Domain License, or similar licenses). Kiro Software makes no warranties regarding the open source code contained in the software.
15. Limitation of Liability
In no event shall the Licensor or the Licensor's affiliates, their employees, or agents be liable for any damages, claims, or costs, or for any indirect, consequential, special, punitive, incidental damages, or any loss of profits, even if a representative of the Licensor or the Licensor's affiliates has been advised of the possibility of such losses, damages, claims, or costs, or any claims by any third party, except as otherwise provided by law. The cumulative liability of the Licensor and the Licensor's affiliates, their employees, and agents related to this Agreement shall be limited to the fees paid by the Licensee for the licensed software (if any).
If the software is alleged to infringe, or there is a potential risk of alleged infringement, the Licensee shall immediately cease using and delete the software upon receipt of written notice from the Licensor (including information sent via email), and Kiro Software may provide replacement or updated or modified software free of charge. In such cases, Kiro Software shall not bear any other liability to you.
16. Indemnification
The Licensee shall indemnify the Licensor and ensure that the Licensor is free from any third-party claims arising from the Licensee's illegal or improper use of this software, and agrees to bear the losses, liabilities, compensation, fines, costs, and expenses incurred by the Licensor as a result. This clause shall remain valid after the termination of the agreement.
17. Export Control
You may not use the licensed software for or otherwise export or re-export it to any country or region sanctioned by the United Nations or the United States. By using the licensed software, you represent and warrant that you are not located in any such country.
18. Advertising Usage Rights
During the term of this Agreement, the Licensee grants the Licensor the right to state that the Licensee is a customer of the Licensor in promotional materials.
The Licensee may submit a written request via email to bowuit@gmail.com and request to be excluded from the software's promotional materials.
19. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Hong Kong, excluding its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be submitted to the courts of Hong Kong for resolution through litigation.
20. Other Provisions

Kiro Software may update this Agreement from time to time. Your continued use of the software shall be deemed your acceptance of such updates. If you cannot accept the updated agreement, you may choose to terminate this Agreement. In such cases, Kiro Software shall not be liable to you for any liability or costs.
You agree that by installing this software, you acknowledge that you have read and understood the above content and agree to comply with its terms and conditions. At the same time, you also agree that this Agreement is the complete and sole statement of the agreement reached between the parties, and for the parties involved in the aforementioned license, this Agreement supersedes all proposals or previously reached agreements (oral or written) and any other communications between the parties.
